General Terms and Conditions of Purchase of Hagemann Systems GmbH and Hagemann Systems Solutions GmbH, Wuppertal (as of October 2026)<\/h2>\t\t\t\t<\/div>\n\t\t

\n\t\t\t\t\t

I. Scope and Conclusion of Contract<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
  1. These General Terms and Conditions of Purchase apply to all orders for goods, including future orders, and to their processing by the supplier. They apply to orders placed by Hagemann Systems GmbH and by Hagemann Systems Solutions GmbH; the supplier\u2019s contracting party is in each case the company placing the order (hereinafter \u201cwe\u201d or \u201cus\u201d). We do not accept terms and conditions of the supplier that conflict with or deviate from these Terms and Conditions of Purchase. Such terms shall not be binding on us even if we do not expressly object to them again after receipt. If we accept the goods without express objection, this shall under no circumstances be construed as acceptance of the supplier\u2019s terms and conditions. Even where we conclude contracts on electronic platforms and the conclusion of the contract is technically only possible if we declare our consent to the supplier\u2019s terms and conditions, this expressly does not constitute consent to the validity of those terms and conditions.

    <\/li>
  2. These General Terms and Conditions of Purchase apply only to entrepreneurs, legal entities under public law or special funds under public law within the meaning of Section 310 (1) of the German Civil Code (BGB).

    <\/li>
  3. If special conditions deviating from these terms are agreed for a specific order, these General Terms and Conditions of Purchase shall apply subordinately and supplementarily.

  4. The preparation of quotations is free of charge and non-binding for us.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
    \n\t\t\t\t
    \n\t\t\t\t\t

    II. Prices<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t
    1. The agreed prices are understood to be free to the receiving point specified by us, including freight, packaging and ancillary costs. In the case of carriage forward delivery, we shall only bear the most favourable freight costs, unless we have prescribed a particular method of shipment.

      <\/li>
    2. In all other respects, the Incoterms\u00ae in their latest version shall apply.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
      \n\t\t\t\t
      \n\t\t\t\t\t

      III. Quality \/ Environment \/ Corporate Social Responsibility<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t
      1. The supplier shall establish and maintain a documented quality assurance and environmental management system that is appropriate in type and scope and corresponds to the latest state of the art. The supplier shall keep records, in particular of its quality inspections, and make them available to us upon request. The supplier hereby consents to quality and environmental audits carried out by us or by a party commissioned by us to assess the effectiveness of its quality assurance and environmental management system.

        <\/li>
      2. The supplier assumes social and ecological responsibility for sustainable business practices and for the security of the supply chain. The supplier undertakes to ensure that human rights are respected, relevant labour standards are complied with and discrimination as well as forced and child labour are not tolerated in the manufacture and delivery of products and in the provision of services. Furthermore, the supplier undertakes not to tolerate or engage in any form of corruption or bribery. Upon request, the supplier shall support us in fulfilling due diligence and information obligations imposed on us by law or by our customers and shall provide the necessary information for this purpose.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t

        IV. Payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\t
        1. Unless otherwise agreed, the following terms of payment shall apply: we pay invoices either within 14 days less 3 % discount or within 30 days net. If the supplier\u2019s terms of payment are more favourable for us, these shall apply.

          <\/li>
        2. Payment and discount periods begin upon receipt of the invoice, but not before receipt of the goods or, in the case of services, not before their acceptance and, if documentation or similar documents form part of the scope of delivery, not before their proper handover to us.

          <\/li>
        3. Payments are made by bank transfer.

          <\/li>
        4. We are entitled to rights of set-off and retention to the extent permitted by law.

          <\/li>
        5. In the event of default, the statutory default interest rate shall apply. In any case, we are entitled to prove that the damage caused by default is lower than claimed by the supplier.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
          \n\t\t\t\t
          \n\t\t\t\t\t

          V. Delivery Periods \/ Delay in Delivery<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t
          1. Agreed delivery dates and periods are binding. We must be notified immediately in text form of any impending delay in delivery. At the same time, the supplier shall propose suitable countermeasures to avert the consequences of the delay.

            <\/li>
          2. Compliance with the delivery date or delivery period is determined by the receipt of the goods at our premises, unless otherwise agreed in text form.

            <\/li>
          3. If the supplier is in default of delivery, we shall be entitled to the statutory claims. In particular, we are entitled to demand damages in lieu of performance after the fruitless expiry of a reasonable grace period set by us. Our claim to delivery shall only be excluded once the supplier has paid the damages.

            <\/li>
          4. If the supplier is in default of delivery, we are entitled to demand a contractual penalty of 0.5 % of the net order value of the delayed delivery for each commenced week of delay, but in total no more than 5 % of the net order value of the delayed delivery. The contractual penalty shall be credited against any damages for delay to be compensated by the supplier. We may reserve the right to claim the contractual penalty until the final payment for the delivery concerned. Further statutory claims remain unaffected.

            <\/li>
          5. The unconditional acceptance of the delayed delivery or service does not constitute a waiver of the claims for compensation to which we are entitled due to the delayed delivery or service or of any contractual penalty incurred; this applies until the remuneration owed by us for the delivery or service concerned has been paid in full.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
            \n\t\t\t\t
            \n\t\t\t\t\t

            VI. Retention of Title<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
            \n\t\t\t\t\t\t\t\t\t
            1. With regard to the supplier\u2019s retention of title rights, the supplier\u2019s conditions shall apply with the proviso that ownership of the goods passes to us upon payment and that the extended forms of the so-called current account and group retention of title shall accordingly not apply.

              <\/li>
            2. On the basis of the retention of title, the supplier may only demand the return of the goods if it has withdrawn from the contract.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
              \n\t\t\t\t
              \n\t\t\t\t\t

              VII. Transfer of Risk, Execution of Deliveries and Packaging<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
              \n\t\t\t\t\t\t\t\t\t
              1. The supplier bears the risk of accidental loss and accidental deterioration, including in the case of \u201cfranco\u201d and \u201cfree domicile\u201d deliveries, until the goods are handed over at the place of destination.

                <\/li>
              2. Partial deliveries require our consent.

                <\/li>
              3. Over- or under-deliveries are only permitted within the customary commercial scope, provided they correspond to industry-standard tolerances. If the quantity deviates significantly from the agreement, this constitutes a material defect.

                <\/li>
              4. The supplier warrants that all packaging used or supplied in connection with this order complies with the requirements of Regulation (EU) 2025\/40 on packaging and packaging waste (PPWR) applicable to it at the time of delivery, including the applicable transitional provisions. By accepting or executing this order, the supplier confirms compliance with these requirements to us. Upon request, the supplier shall provide us without delay with the legally required EU declaration of conformity as well as the information and evidence available to it regarding the identification of the manufacturer and the conformity of the packaging. Identifiable deviations or missing evidence must be notified to us in text form before the delivery is executed.

                <\/li>
              5. Packaging costs shall be borne by the supplier unless otherwise agreed in text form. If, in individual cases, we bear the costs of packaging, it shall be charged to us at the lowest possible price. The obligations to take back packaging are governed by the applicable packaging legislation, with the proviso that packaging is always taken back at our registered office unless otherwise agreed. The costs of return transport and disposal of the packaging shall in any case be borne by the supplier.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                \n\t\t\t\t
                \n\t\t\t\t\t

                VIII. Declarations of Origin<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t\t\t\t\t\t
                1. Upon our request, the supplier shall provide us with a supplier\u2019s declaration on the preferential origin of the goods and\/or a certificate of origin on the non-preferential origin of the goods.

                  <\/li>
                2. If the supplier makes declarations regarding the preferential or non-preferential origin of the goods sold, the following shall apply:
                  1. The supplier undertakes to enable the customs administration to verify proofs of origin and to provide the necessary information as well as any confirmations that may be required.

                    <\/li>
                  2. The supplier is obliged to compensate for the damage resulting from the declared origin not being recognised by the competent authority as a result of incorrect certification or lack of verification options, unless the supplier is not responsible for these consequences.<\/li><\/ol><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                    \n\t\t\t\t
                    \n\t\t\t\t\t

                    IX. Liability for Defects and Limitation Period<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                    \n\t\t\t\t\t\t\t\t\t
                    1. The supplier shall provide us with goods free from material defects and defects of title. In particular, the supplier warrants that its deliveries and services comply with the recognised rules of technology and with the contractually agreed properties and standards as well as with safety, occupational health and safety, accident prevention and other regulations. The supplier shall indemnify us against claims by third parties asserted against us due to the infringement of industrial property rights or copyrights by the goods delivered, unless the infringement is based on drawings, samples or specifications provided by us.

                      <\/li>
                    2. Our incoming goods inspection is limited to externally visible transport damage and to verifying the quantity and identity of the goods ordered, at least on the basis of the delivery documents. Any complaints identified in this process will be notified without delay. The supplier must align its quality management system and quality assurance measures with this reduced incoming goods inspection.

                      <\/li>
                    3. Notices of defects are deemed timely if they are received by the supplier within 10 working days. The period for notification of defects begins at the time at which we or, in the case of drop shipments, our customers have discovered the defect or should have discovered it.

                      <\/li>
                    4. If the goods have a material defect, we are entitled to the statutory rights at our discretion.

                      <\/li>
                    5. We may demand reimbursement from the supplier of the expenses we have to bear in relation to our customer if the defect already existed when the risk passed to us. The costs of subsequent performance to be reimbursed by the supplier pursuant to Section 439 (2) BGB also include costs such as those for locating the defect and sorting costs.

                      <\/li>
                    6. In the event of imminent danger, we are entitled, after giving corresponding notice to the supplier, to remedy defects ourselves at the supplier\u2019s expense.

                      <\/li>
                    7. Our claims for defects become time-barred 36 months after the transfer of risk. For parts repaired or replaced within the limitation period, the limitation period begins anew upon completion of subsequent performance, unless the supplier has evidently provided subsequent performance only as a gesture of goodwill. However, the supplier\u2019s liability for defects ends in any case ten years after delivery of the goods. This limitation does not apply if our claims are based on facts that the supplier knew or could not have been unaware of and that it did not disclose to us.

                      <\/li>
                    8. The supplier hereby assigns to us, on account of performance, all claims to which it is entitled against its upstream suppliers on the occasion of or in connection with the delivery of defective goods or goods lacking guaranteed properties. The supplier shall hand over to us all documents required to assert such claims.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                      \n\t\t\t\t
                      \n\t\t\t\t\t

                      X. Product Liability and Recall<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t
                      1. In the event that claims are asserted against us on the basis of statutory product liability, the supplier is obliged to indemnify us against such claims if and to the extent that the damage was caused by a defect in the contractual item delivered by the supplier. In cases of fault-based liability, however, this shall only apply if the supplier is at fault. The indemnification obligation does not apply insofar as the claim is based on a grossly negligent or intentional breach of duty on our part. If the cause of the damage lies within the supplier\u2019s area of responsibility, the supplier bears the burden of proof in this respect. In these cases, the supplier shall bear all costs and expenses, including the costs of any legal action or recall campaign. The supplier shall inform us without delay if it becomes aware of circumstances that could require a recall campaign or another measure to avert danger, and shall support us in carrying it out. In all other respects, the statutory provisions apply. Any further claims for damages remain unaffected.

                        <\/li>
                      2. The supplier is obliged to maintain at all times product liability insurance with an appropriate, industry-standard sum insured for personal injury and property damage. Proof of the insurance must be provided to us upon request.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                        \n\t\t\t\t
                        \n\t\t\t\t\t

                        XI. Tools, Models, Drawings and Other Documents<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                        \n\t\t\t\t\t\t\t\t\t
                        1. Materials, special packaging, tools, models, drawings and other documents provided by us or produced for us remain our property and may only be used to execute our orders. They may not be made accessible to third parties without our consent and must be stored properly until revoked, but no longer than two years after their last use, and then handed over to us.

                          <\/li>
                        2. The production as well as the processing and treatment of such tools, models, drawings and other documents which the supplier produces on our behalf are carried out for us as manufacturer, with the consequence that we acquire ownership of them.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                          \n\t\t\t\t
                          \n\t\t\t\t\t

                          XII. Place of Performance, Place of Jurisdiction and Applicable Law<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t
                          1. Unless otherwise agreed, the place of performance for delivery and for our payments is our place of business.

                            <\/li>
                          2. The place of jurisdiction is the registered office of the company that placed the order. We may also sue the supplier at its place of jurisdiction.

                            <\/li>
                          3. All legal relationships between us and the supplier shall be governed, in addition to these terms and conditions, by German law, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 (CISG).

                            <\/li>
                          4. The data of our suppliers are stored and processed by us in accordance with the requirements of the General Data Protection Regulation (GDPR). Details can be found in our data protection information for suppliers, which we make available on our website and send on request.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
                            \n\t\t\t\t
                            \n\t\t\t\t\t

                            XIII. Governing Version<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
                            \n\t\t\t\t\t\t\t\t\t
